1. Acceptance of Terms

By accessing or using the Noetics Systems platform, website, and related services (the "Services"), you agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, you may not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services.

2. License to Use the Services

Subject to your continued compliance with these Terms, Noetics Systems grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software component of the Services, except to the extent applicable law expressly permits such activity.

3. Your Account and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You represent and warrant that all information you provide in connection with the Services is accurate, current, and complete.

4. Acceptable Use Policy

You agree not to use the Services to: violate any applicable law or regulation; infringe the intellectual property or privacy rights of others; transmit viruses, malware, or other harmful code; send unsolicited communications or spam; or interfere with the proper functioning of the Services.

We reserve the right to suspend or terminate access if we reasonably believe you have violated this policy.

5. Billing, Subscriptions, and Fees

Certain features of the Services require payment of fees. Subscription plans (Essentials, Professional, and Premium) are billed on a recurring monthly or annual basis as selected at checkout.

Professional and Premium plans may include a one-time setup fee, charged at the time of purchase. The setup fee covers onboarding and configuration and is non-refundable except as required by applicable law.

Partnership tier accounts operate under a separate revenue-share agreement in which we earn a percentage of closed deals. Partnership is governed by a quarterly renewal contract that may be cancelled at any time during a renewal period.

All fees are stated in U.S. dollars. You authorize us to charge your designated payment method for all amounts due. If a payment fails, we may suspend access until payment is resolved.

6. Renewal and Cancellation

Monthly and annual subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel your subscription at any time from your account settings; cancellation stops future renewals but does not refund the current paid period.

Quarterly partnership agreements renew automatically at the end of each quarter and may be cancelled at any time during a renewal period.

7. Intellectual Property

The Services, including all content, features, branding, and software, are owned by Noetics Systems and protected by intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.

8. Disclaimers

Except as required by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Noetics Systems be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue or profits, arising from your use of the Services.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Florida.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
